Sources said that Namirial founder Enrico Giacomelli and a management team led by CEO Max Pellegrini will retain a significant stake in the business.
HG and TA Associates were among the potential bidders preparing non-binding offers for the company, Bloomberg News reported this month. Other private equity firms, including Apax and Cinven, were also exploring possible offers.
Namirial, based in Senigallia, Italy, provides software solutions for a variety of industries, including banking, insurance, automotive and utilities. According to its website, it employs more than 1,000 people in 30 offices in Europe, Latin America and Asia.
In 2020, Ambienta acquired Namirial and invested in the company's international expansion through a series of acquisitions, including the purchase of Madrid-based qualified trust services provider Evicertia in 2022.
